  1. Introduction and Acceptance

1.1 Agreement
These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and Syntari AI, Inc. ("Syntari," "Company," "we," "us," "our") governing your access to and use of the Syntari platform, including our website, applications, APIs, and related services (collectively, the "Services").

1.2 Acceptance
By accessing or using our Services, creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, and all other policies referenced herein. If you do not agree to these Terms, you may not access or use the Services.

1.3 Authority to Bind
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

1.4 Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Services at least 30 days before becoming effective. Your continued use of the Services after modifications constitutes acceptance of the updated Terms.

  1. Description of Services

2.1 Platform Overview
Syntari provides a comprehensive consulting management and AI-powered analytics platform designed for professional services firms. Our Services include:

• Client Relationship Management: Tools for managing client information, contacts, and engagement history
• Pipeline Management: Opportunity tracking, proposal generation, and deal management
• Document Management: Creation, storage, and collaboration on professional documents
• AI-Powered Analytics: Intelligent insights, recommendations, and automation
• Reporting and Dashboards: Business intelligence and performance metrics
• Integration Services: Connections with third-party applications and services
• Mobile Applications: iOS and Android applications for remote access

2.2 Service Tiers
Access to specific features may vary based on your subscription tier. Feature availability is described in your Order Form or subscription agreement.

2.3 Service Modifications
We continuously improve our Services and may add, modify, or discontinue features. We will provide reasonable notice of material changes that negatively affect your use.

  1. Account Registration and Security

3.1 Account Creation
To use the Services, you must create an account providing accurate, complete, and current information. You agree to update your information promptly if it changes.

3.2 Account Security
You are responsible for:
• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Implementing strong passwords and enabling multi-factor authentication (MFA)
• Notifying us immediately of any unauthorized access

3.3 Account Types
• Firm Accounts: Organization-level accounts with administrative controls
• User Accounts: Individual accounts within a Firm Account
• API Accounts: Service accounts for programmatic access

3.4 Access Controls
Syntari provides role-based access control (RBAC) with over 50 granular permissions. Account administrators are responsible for properly configuring access rights for their users.

3.5 Multi-Factor Authentication
We strongly recommend and may require multi-factor authentication (TOTP) for account access, particularly for administrative functions and sensitive data access.

  1. Acceptable Use

4.1 General Conduct
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services to process data you are not authorized to handle
• Attempt to gain unauthorized access to any systems or accounts
• Interfere with or disrupt the Services or related infrastructure
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services to transmit malware or malicious content
• Resell, sublicense, or provide the Services to third parties without authorization

4.2 Content Standards
You are responsible for all content you upload, create, or share through the Services ("User Content"). User Content must not:

• Infringe intellectual property rights
• Contain false, misleading, or defamatory material
• Include sensitive personal data without proper authorization
• Violate privacy or data protection laws

4.3 Acceptable Use Policy
Your use is also governed by our Acceptable Use Policy, which is incorporated herein by reference. Violations may result in immediate suspension or termination.

  1. Data and Privacy

5.1 Data Processing
Our collection, use, and protection of your data is governed by our Privacy Policy. By using the Services, you consent to our data practices as described therein.

5.2 Data Ownership
• Your Data: You retain all rights to data you upload or create ("Customer Data"). We claim no ownership of your Customer Data.
• Platform Data: We own all data about platform usage, performance, and aggregated analytics.

5.3 Data Processing Agreement
For customers requiring a Data Processing Agreement (DPA) for GDPR compliance, we provide a standard DPA upon request. Enterprise customers may negotiate custom terms.

5.4 Business Associate Agreement
For customers processing Protected Health Information (PHI) under HIPAA, we provide a Business Associate Agreement (BAA) upon request.

5.5 Data Location
Customer Data is primarily stored in the United States. For customers requiring specific data residency, please contact us to discuss available options.

5.6 Data Security
We implement comprehensive security measures including:
• Encryption in transit (TLS 1.3) and at rest (AES-256)
• Role-based access control with 50+ granular permissions
• Multi-factor authentication (TOTP)
• Comprehensive audit logging with 7-year retention
• Regular security assessments and penetration testing
• Incident response procedures compliant with SOC 2, ISO 27001, and HIPAA

5.7 Data Retention
We retain Customer Data for the duration of your subscription plus a 90-day grace period. After termination, data is securely deleted unless legal retention requirements apply.

5.8 Data Export
You may request export of your Customer Data in standard formats (JSON, CSV) at any time. We will fulfill export requests within 30 days.

  1. Intellectual Property

6.1 Syntari Intellectual Property
The Services, including all software, algorithms, designs, text, graphics, and other content (excluding Customer Data), are owned by Syntari or our licensors and protected by intellectual property laws. You receive no ownership rights in the Services.

6.2 License Grant to You
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term.

6.3 License Grant to Us
You grant us a limited license to use, process, and store Customer Data solely to provide the Services, comply with legal obligations, and improve our platform (using aggregated, anonymized data only).

6.4 Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant us a perpetual, worldwide, royalty-free license to use such feedback without obligation to you.

6.5 Trademarks
"Syntari," the Syntari logo, and other marks are trademarks of Syntari AI, Inc. You may not use our trademarks without prior written permission.

  1. Service Levels and Availability

7.1 Availability Commitment
We target 99.9% uptime for the Services, measured monthly, excluding scheduled maintenance. Service Level Agreements (SLAs) with specific commitments and remedies are available for Enterprise customers.

7.2 Scheduled Maintenance
We perform routine maintenance during low-usage periods (typically weekends, 2-6 AM ET). We provide at least 48 hours notice for scheduled maintenance expected to exceed 30 minutes.

7.3 Service Status
Current service status and incident updates are available at status.syntari.ai.

7.4 Support
Support availability varies by subscription tier:
• Standard: Email support, 24-hour response time
• Professional: Email and chat support, 8-hour response time
• Enterprise: Phone, email, and chat support, 4-hour response time, dedicated success manager

  1. Fees and Payment

8.1 Subscription Fees
Fees for the Services are specified in your Order Form or subscription agreement. All fees are quoted and payable in U.S. dollars unless otherwise specified.

8.2 Billing
• Annual Subscriptions: Billed annually in advance
• Monthly Subscriptions: Billed monthly in advance
• Usage-Based Fees: Billed monthly in arrears based on actual usage

8.3 Payment Terms
Payment is due within 30 days of invoice date unless otherwise specified. We accept credit cards, ACH, and wire transfers.

8.4 Late Payments
Late payments accrue interest at 1.5% per month or the maximum rate permitted by law. We may suspend Services for accounts more than 30 days past due.

8.5 Taxes
Fees exclude applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities, excluding taxes based on our net income.

8.6 Price Changes
We may change pricing with 60 days notice. Price changes take effect at your next renewal unless otherwise agreed.

8.7 Refunds
Annual subscriptions may be cancelled within 30 days for a full refund. After 30 days, no refunds are provided for partial subscription periods.

  1. Term and Termination

9.1 Term
These Terms are effective upon your acceptance and continue until terminated. Subscriptions renew automatically unless cancelled before the renewal date.

9.2 Termination by You
You may terminate your account at any time through the account settings or by contacting us. Termination does not entitle you to a refund of prepaid fees.

9.3 Termination by Us
We may terminate or suspend your account:
• Immediately for material breach of these Terms
• Immediately for violation of our Acceptable Use Policy
• Upon 30 days notice for any reason
• Immediately if required by law

9.4 Effect of Termination
Upon termination:
• Your access to the Services will be disabled
• You remain liable for any outstanding fees
• We will retain your data for 90 days, during which you may request export
• After 90 days, your data will be securely deleted

9.5 Survival
Sections regarding intellectual property, confidentiality, limitation of liability, indemnification, and general provisions survive termination.

10.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTARI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.

10.3 Cap on Liability
SYNTARI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO SYNTARI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.4 Exceptions
The limitations in this section do not apply to:
• Your breach of Section 4 (Acceptable Use)
• Your indemnification obligations
• Liability that cannot be limited by applicable law

10.5 Basis of the Bargain
You acknowledge that the limitations of liability reflect the allocation of risk between the parties and are an essential element of the basis of the bargain.

11.1 Your Indemnification
You agree to indemnify, defend, and hold harmless Syntari, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
• Your use of the Services
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your Customer Data

11.2 Syntari Indemnification
We will indemnify you against third-party claims that the Services infringe a valid patent, copyright, or trademark, provided you promptly notify us and give us control of the defense.

11.3 Exclusions
We have no obligation to indemnify claims arising from:
• Modifications you make to the Services
• Combination with non-Syntari products
• Use after we provide notice to discontinue
• Use in violation of these Terms

  1. Confidentiality

12.1 Definition
"Confidential Information" means any non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential.

12.2 Obligations
Each party agrees to:
• Protect Confidential Information using reasonable security measures
• Not disclose Confidential Information except as permitted
• Use Confidential Information only for purposes of this Agreement

12.3 Exceptions
Confidential Information does not include information that:
• Is or becomes publicly available without breach
• Was known before receipt from the disclosing party
• Is received from a third party without restriction
• Is independently developed without use of Confidential Information

12.4 Required Disclosures
A party may disclose Confidential Information if required by law, provided it gives reasonable notice (where permitted) to allow the other party to seek protective measures.

  1. Third-Party Services

13.1 Integrations
The Services may integrate with third-party applications and services. Your use of such integrations is subject to the applicable third-party terms.

13.2 No Endorsement
Integration availability does not constitute our endorsement of any third-party service. We are not responsible for third-party services.

13.3 API Access
If you use our APIs, you must comply with our API Terms of Use and rate limits. API access may be modified or discontinued with notice.

  1. Compliance

14.1 Export Compliance
You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, or a national of, any country subject to U.S. trade sanctions.

14.2 Anti-Corruption
You agree not to offer, promise, or give any bribe or other improper payment in connection with the Services.

14.3 Regulatory Compliance
If you use the Services to process regulated data (e.g., PHI, financial data), you are responsible for ensuring your use complies with applicable regulations.

  1. Dispute Resolution

15.1 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15.2 Arbitration
Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware.

15.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class actions or class-wide arbitration.

15.4 Injunctive Relief
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

15.5 Time Limitation
Any claim must be brought within one (1) year after the cause of action arises.

  1. General Provisions

16.1 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, Order Forms, and other policies referenced herein, constitute the entire agreement between you and Syntari.

16.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.

16.3 Waiver
Failure to enforce any provision does not constitute a waiver of that provision.

16.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.5 Notices
Notices to you will be sent to your registered email address. Notices to us should be sent to legal@syntari.ai.

16.6 Force Majeure
Neither party is liable for delays or failures due to causes beyond reasonable control, including natural disasters, war, terrorism, or government actions.

16.7 Independent Contractors
The parties are independent contractors. Nothing creates an employment, partnership, or agency relationship.

16.8 Third-Party Beneficiaries
There are no third-party beneficiaries to these Terms.

  1. AI-Specific Terms

17.1 AI Features
The Services include artificial intelligence and machine learning features ("AI Features"). AI Features provide recommendations, insights, and automated assistance based on your data and platform interactions.

17.2 AI Limitations
AI Features are provided as decision-support tools. You acknowledge that:
• AI outputs may be inaccurate or incomplete
• You are responsible for reviewing and validating AI recommendations
• AI Features do not constitute professional advice
• You should not rely solely on AI outputs for critical decisions

17.3 AI Training
By default, your data is not used to train our AI models. If you opt in to our product improvement program, only aggregated, anonymized data may be used to improve AI Features.

17.4 AI Ethics
We design our AI Features following responsible AI principles, including fairness, transparency, and accountability. We do not use AI for discriminatory purposes.
